CONSTITUTION
OF THE TAIWANESE STUDENT ASSOCIATION
A registered student organization of the University of Oklahoma

ARTICLE I
Name

The name of this organization shall be the Taiwanese Student Association.

ARTICLE II
Purpose

The purpose of this organization shall be to enrich the University community by emphasizing the culture, heritage, language, and traditions of the Taiwanese, and to expose the Taiwanese to American culture.

ARTICLE III
Members

Section One. – Members of this Association shall be two (2) classes of members: Regular Voting Members and Non-Voting Members.

  1. Regular Voting Members: Are those members who:

    1. Are current students of the University of Oklahoma who have paid their dues, and
    2. Have followed the attendance guidelines set down in this constitution.

    These members are entitled to the full benefits (voting, holding office and attending all Taiwanese meetings and activities) of a member of this organization.

  2. Regular Non-Voting Members: Are those members who:

    1. Are current students of the University of Oklahoma who are delinquent on the payment of their dues, and/or
    2. Have not followed the attendance guidelines set down in this constitution.

    These members shall be allowed to attend meetings without the right to vote or hold office. These members can reestablish their status as regular voting members if they pay their dues and/or reestablish regular attendance, pending upon the approval of the Officers.

Section Two. – All University of Oklahoma students in good standing with the University are eligible for Regular Membership.

Section Three. – The annual dues shall be set by in the By-Laws.

Section Four. – Each Regular Voting Member shall not miss more than 80% of the previous year’s meetings and/or two (2) consecutive meetings without valid excuses. Any Regular Member who has missed this number (2) of consecutive meetings and/or 80% of the meetings of the previous year shall be notified by the Secretary and must submit his/her excuses to the Secretary or shall lose his/her standing as a Voting Member and will be regarded as a Non-Voting Member. The Officers shall be the sole judge of valid excuses.
Members who have become Regular Non-Voting Members because of two consecutive absences can reestablish themselves as Regular Voting Members by attending two (2) meetings consecutively and upon the approval of the Officers.

Members who have become Regular Non-Voting Members because of missing 80% of the previous year’s meetings can reestablish themselves as Regular Voting Members by bringing their attendance record up to 80% and upon the approval of the Officers.

Section Five.- Taiwanese Student Association shall not discriminate on the basis of race, color, religion, national origin, age, gender, sexual orientation, disability, veteran status, marital status, or political belief.

ARTICLE IV
Officers

Section One. – The Officers of the Association shall be a President; a Vice-President; a Secretary; a Treasurer; a Public Relations Officer; and a Special Events & Sports Officer. These Officers shall perform the duties as prescribed by this Constitution and its By-Laws and by the parliamentary authority adopted by the Association when not in conflict with either the Constitution or By-Laws.

Section Two. – Officers shall be Regular Voting Members.

Section Three. – Officers shall be elected each year to serve a term of one year. The elections shall take place at the last meeting of the regular academic year. Summer session shall be conducted by the Officers of the previous Spring semester.

Section Four. – All offices shall be filled by those who received the largest number of votes from the present Regular Voting Members. In case of tie between the candidates with the highest number of votes, there shall be a runoff between these two candidates alone. Other candidates will not be considered in the runoff. If there is a tie, the President should elect the winner.

Section Five. – Duties of the President:
  1. The President shall preside at each meeting.
  2. He/She shall serve as member of the Executive Council.
  3. The President shall appoint committees with the approval of the Executive Council.
  4. He/She shall not vote on regular business matters except in case of a tie, where he/she may cast the deciding vote.

Section Six. – Duties of the Vice-President:
  1. Preside when the President is absent.
  2. He/She shall serve as a member of the Executive Council.
  3. The Vice-President shall be concerned with the internal functions of the Association.

Section Seven. – Duties of the Secretary:
  1. Shall be responsible for the minutes as well as all attendance matters.
  2. He/She shall serve as a member of the Executive Council.
  3. Supervision of all correspondence.

Section Eight. – Duties of the Treasurer:
  1. Keep U.O.S.A. account.
  2. He/She shall serve as a member of the Executive Council.
  3. Shall be responsible for dues.
  4. Shall make reports to Executive Council when necessary.

Section Nine. – Duties of the Public Relations Officer:
  1. Submit timely notices to the members and the media (e.g., Oklahoma Daily, Campus Bulletin, Newsletter).
  2. He/She shall serve as a member of the Executive Council.
  3. Shall develop fliers when necessary.

Section Ten. – Duties of the Special Events & Sports Officer:
  1. Shall inform the Association of other cultural activities.
  2. He/She shall serve as a member of the Executive Council.
  3. Shall inform and organize sports-related activities.

Section Eleven. – The Executive Council shall have supervision of the affairs of the Association between its meetings, make recommendations to the Association, and shall perform such other duties specified by this Constitution or By-Laws. The Council shall be subject to the orders of the Association, and none of its acts shall conflict with actions taken by the Association. All members of the Executive Council will be responsible for all activities.

Section Twelve. – Any member of the Executive Council may be removed from office only on the basis of failure to carry out his/her duties in either of the two following ways:
  1. By a majority of the total Regular Voting Members of the Association petitioning and favor of his/her impeachment. Once this is effectuated and official motion of removal may be at the regular meeting, at this time two-thirds of the present Regular Voting Members is required for removal from office.
  2. After a formal warning has been given to the member by the President or Vice-President of the Association and the impeachment is favored by a single majority of the Council. A member under impeachment shall be removed from office by the unanimous vote of the total number of members of the Council excluding the member under impeachment. Only one member shall be impeached at a regular meeting of the Association.

Section Thirteen. – Any vacancies created by either resignation or removal of office shall be appointed by the remaining members of the Council.

ARTICLE V
Meetings

Section One. – The President shall set the date, hour and place of regular and special meetings, unless otherwise ordered by the Executive Council.

Section Two. – Enough publicity shall be provided or all members shall be informed at least two days before a regularly scheduled meeting.

Section Three. – Special meetings can be scheduled as agreed by Executive Council.

Section Four. – Quorum at any meeting will be the total number of regular voting members which are present and voting. This quorum does not apply to amend, impeach, or expel.

Section Five. – Attendance requirements to meetings shall be followed as specified in Article III, Section Four.

Section Six. – Meetings will be held in Taiwanese unless otherwise voted by a majority of the present Regular Voting Members. The Executive Council is responsible for assigning a bilingual member to individuals that need translation.

ARTICLE VI
Faculty Advisor

Only full-time members of the University faculty or staff are eligible to be recommended and approved as the Advisor of the Taiwanese Student Association under the requirements stated in Article VI of the Constitution of the Taiwanese Student Association of the University of Oklahoma. The Faculty Advisor of this Association shall be recommended by the Executive Council and approved by a majority of present Regular Voting Members of the Association at a scheduled meeting.

ARTICLE VII
By-Laws

Section One. – The Association may from time to time pass By-Laws to aid in the management of the Association as long as these By-Laws do not conflict with the constitution.

Section Two. – These By-Laws shall require a majority of present Regular Voting Members vote to pass. They can also be amended by a majority vote.

ARTICLE VIII
Parliamentary Authority

Robert’s Rules of Procedure shall be followed unless a motion is moved by any Regular Voting Member to discontinue this procedure, and then it is seconded by another Regular Voting Member. In that case the President shall conduct the meeting in any order he/she sees fit.

ARTICLE IX
Amendments

Amendments may be petitioned by a majority of the total number of present Regular Voting Members at any scheduled meeting. Amendments must then be introduced to the Executive Council at a regular meeting, at this time two-thirds of the total number of Regular Voting Members shall vote in favor of the amendment. This complete procedure is required for such constitutional amendment. The quorum required for amending the constitution shall be twenty five percent (25%) of the total Regular Voting Members.

ARTICLE X
Adoption

This Constitution shall become effective from date of approval when ratified by a two-thirds vote of the present Regular Voting Members of the Taiwanese Student Association of the University of Oklahoma.

ARTICLE XI

All prior Constitutions and Amendments shall be null and void at the time of approval of this Constitution.

ARTICLE XII

Preemption Statement:
If there is a conflict between our national or parent organization’s rulings, constitution, or direction and the University of Oklahoma Student Code, the Student Code preempts the national or parent ruling.

BYLAWS TO THE CONSTITUTION OF THE TAIWANESE STUDENT ASSOCIATION (TAIWAN)

  1. In accordance to the University of Oklahoma Student Code, and the UOSA constitution; only University of Oklahoma students might be members of the Taiwanese Student Association.
  2. Any other individuals not registered at the University of Oklahoma are excluded, and will not enjoy the privileges of this organization.
  3. In accordance to the University of Oklahoma Student code, the constitution of the Taiwanese Student Association is subject to all provisions of the University of Oklahoma Student Code.
  4. Taiwanese Student Association shall comply with all local, state and federal laws.
